The short version
- $1,500/month management, billed in advance. Ad spend ($2,000/month minimum) goes straight from your card to Meta. We never mark it up.
- 90-day first term, then month-to-month. Cancel with 30 days' written notice.
- Your ad account, Facebook page, pixel and customer data are yours. If you leave, we export your contacts within 10 business days.
- The ads, copy, funnels and automations we build are ours, licensed to you while you're a client.
- Nobody honest can guarantee leads or sales, and we don't. We do guarantee the work and a reply to any issue within one business day.
- One contractor per trade per market while your account is active and in good standing.
This summary is for convenience. The full terms below, and any signed service agreement, control.
1. Who we are
"Ridgeline Growth," "we," "us," and "our" mean Ridgeline Surface Co LLC, an Arkansas limited liability company doing business as Ridgeline Growth. "You" and "Client" mean the person or business using this website or our services. By using this website or our services, you agree to these Terms and to our Privacy Policy.
2. Using this website
You may browse this website and use its tools (like the ROI calculator) for your own business planning. You agree not to copy or resell site content, scrape the site, interfere with its operation, or submit false information through our forms.
Calculator outputs and example reports are illustrations based on the numbers entered or shown. They are not predictions or promises of your results. Results we describe from Patriot Coatings of Arkansas reflect a company owned by our founder and are not a guarantee of results for any other business.
3. Services and your agreement
We provide advertising management (primarily on Meta platforms), creative editing using media you supply, lead forms and landing pages, CRM setup and automations, reporting, and related support. The exact scope is set out in your signed service agreement.
Not included unless agreed in writing: organic social media management, search engine optimization, website rebuilds, live phone answering, appointment setting, and advertising on platforms other than those listed in your agreement.
4. Term and cancellation
- Initial term: 90 days from the date you sign. This gives campaigns time to launch, learn and be optimized.
- After 90 days: month-to-month. Either party may cancel with 30 days' written notice (email is fine).
- Early termination by us: we may end services with 30 days' notice for any reason, or immediately if you materially breach these Terms, act unlawfully, or are abusive to our team. If we end services without cause, we'll refund any fees prepaid for the period after services stop.
- Pausing: pausing ads doesn't pause management fees unless we agree in writing.
5. Fees and payment
- Management fees are billed monthly in advance, on the same calendar day you signed, through our payment processor (Stripe). ACH bank debit is our default payment method; card payments may be accepted on request.
- By providing payment details, you authorize recurring charges until your agreement ends.
- Any setup fee is due at signing.
- Fees paid are non-refundable, except as stated in Section 4.
- If a payment is more than 7 days late, we may pause campaigns and support. If it is more than 15 days late, we may terminate your agreement and the 90-day minimum fees remain due.
- Prices for active clients won't change without at least 30 days' written notice.
6. Ad spend
- Ad spend is separate from our fees and is paid by you directly to the ad platform using your own payment method.
- The minimum ad spend is $2,000 per month unless your agreement says otherwise. If ad spend drops below the minimum, we may pause services, because results can't be fairly judged below that level.
- We never mark up, resell or hold your ad spend.
- You are responsible for all charges from ad platforms, including charges caused by platform errors. We'll set budgets you approve and help you dispute platform errors where we can.
7. What you own
- Your ad accounts, Facebook and Instagram pages, pixels and datasets, and their history.
- Your business name, logos, trademarks and the raw photos and videos you send us.
- Your customer and lead data. When your agreement ends, we'll provide a CSV export of your contacts from the CRM within 10 business days of your request.
You grant us access to your ad platforms through partner access. We will not change ownership, payment methods or admin users on your accounts without your permission. You grant us a license to use the media and brand materials you provide for the purpose of delivering services. We'll only feature your business or results in our marketing with your written permission.
8. What we own
We own the work product we create, including edited ad creative, ad copy and scripts, landing pages, forms and funnels, automations, CRM configurations, templates, and our methods ("Ridgeline Work Product"). While your account is active and paid, you have a non-exclusive license to use Ridgeline Work Product to promote your business.
When your agreement ends, that license ends. Within 10 days, you agree to either stop running ads and funnels that use Ridgeline Work Product, or purchase a perpetual license for the buyout fee in your agreement. Ads built entirely from your own raw media with no edits from us are not Ridgeline Work Product.
9. The CRM platform
The CRM we provide runs on a third-party platform (HighLevel) as a sub-account under our agency account. Your use of it is also subject to that platform's terms. CRM access, automations and included messaging usage are part of your monthly fee while your account is active. We may set reasonable usage limits or pass through costs for unusually high messaging or calling volume, with notice.
When your agreement ends, CRM access ends after your data export is delivered. If you want to keep the full CRM build, we can transfer the sub-account to your own HighLevel account for the transfer fee in your agreement.
10. Your responsibilities
Marketing works best as a partnership. You agree to:
- Grant and keep the access we need to your ad accounts, pages and pixels.
- Send new job photos and videos at least monthly.
- Contact new leads promptly. We recommend within 15 minutes during business hours. Slow follow-up is the most common reason leads "go bad."
- Attend scheduled check-in calls and tell us which leads became estimates and jobs, or update that in the CRM.
- Approve ads and offers before they run, and make sure every offer, price, warranty and claim we advertise for you is accurate and something you'll honor.
- Hold the licenses, insurance and registrations your trade and location require.
- Provide accurate business information for platform verification and carrier texting registration.
11. Texting, calling and email rules
Our forms collect consent to contact leads by phone, text and email, and our automations include opt-out handling. You are responsible for how you and your team contact leads, including compliance with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, state telemarketing and texting laws, and do-not-call rules.
- Business texting through the CRM requires carrier registration (A2P 10DLC). Approval can take one to three weeks and is controlled by the carriers, not us.
- Don't message people who haven't consented, and honor opt-out requests (like "STOP") immediately on every channel.
- Don't import purchased or scraped lists into the CRM for texting.
12. Ad platform rules
All advertising is subject to the policies of Meta and any other platform used. Platforms can reject ads, limit delivery, change algorithms or pricing, or restrict accounts at their discretion. We'll work to fix and appeal issues, but we aren't responsible for platform decisions, outages or policy changes.
13. Territory exclusivity
While your account is active, paid and in good standing, we won't provide the same advertising services to another business in your trade within the territory defined in your agreement. Exclusivity doesn't apply to our founder's own businesses, and we don't accept coatings clients in markets where those businesses operate. Exclusivity ends when your agreement ends or if payments are more than 15 days late.
14. No guaranteed results
Advertising results depend on many things we don't control, including your market, season, pricing, reviews, offer, competition, and how quickly leads are contacted. We do not guarantee any number of leads, appointments, sales, revenue or return on ad spend. Past results, including results from our founder's own company, don't guarantee future or similar results.
What we do commit to: launching campaigns within the timeline in your agreement once we have access and media, refreshing creative regularly, holding scheduled check-ins, sending a monthly report, and responding to any issue you raise within one business day.
15. Confidentiality
Each of us will keep the other's non-public business information confidential and use it only to perform under our agreement. That includes your pricing, close rates and customer data, and our processes, templates and pricing. This doesn't apply to information that is public, already known, independently developed, or required to be disclosed by law.
16. Non-solicitation
During your agreement and for 12 months after, you agree not to directly hire or contract with anyone who worked on your account for us (employees or contractors) without our written consent.
17. Disclaimers
This website and our services are provided "as is" and "as available," except for the commitments stated in these Terms and your agreement. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We don't provide legal, tax, accounting, employment or financial advice, and nothing we say should be taken as such.
18. Limitation of liability
To the extent the law allows, our total liability for any claim related to this website or our services is limited to the management fees you paid us in the three months before the event giving rise to the claim. Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised they were possible. These limits don't apply to a party's fraud, willful misconduct, or your payment obligations.
19. Indemnification
You agree to defend and indemnify us against third-party claims arising from your offers, pricing, warranties and workmanship; your contact with leads (including texting and calling); materials you provide; or your violation of law or these Terms. We agree to defend and indemnify you against third-party claims that Ridgeline Work Product, as delivered by us, infringes someone else's intellectual property.
20. Disputes and governing law
If a problem comes up, tell us in writing and we'll both try in good faith to resolve it within 30 days before taking any formal action. These Terms are governed by the laws of the State of Arkansas, without regard to conflict-of-law rules. Any lawsuit will be brought in the state or federal courts located in Benton County, Arkansas, and both parties consent to that venue.
21. Changes to these terms
We may update these Terms from time to time. We'll post the new version here with a new effective date, and notify active clients by email at least 30 days before material changes take effect. Changes don't override a signed agreement during its current term.
